1.
Introduction
This Microsoft 365 Support Services Agreement is entered into between DISKMANDOTNET and the Client named in Step 11 of this form, and sets out the terms under which DISKMANDOTNET will provide Microsoft 365 support services to the Client.
2. Microsoft 365 Licensing
2.1
The Client acknowledges that all Microsoft 365 licenses, subscriptions, renewals, cancellations, and related commitments are the Client’s sole responsibility.
2.2
The Client is responsible for all costs associated with its Microsoft 365 licensing, whether billed monthly, annually, or otherwise.
2.3
DISKMANDOTNET’s ability to supply or resell Microsoft 365 licenses is through its commercial relationship with Synnex and any applicable upstream distributor arrangements.
2.4
The Client’s purchase, use, renewal, cancellation, and management of Microsoft 365 licenses remain subject to Microsoft’s applicable licensing documentation, subscription terms, product terms, and any terms imposed through the applicable supply channel. This agreement applies only to the support services provided by DISKMANDOTNET and does not replace, modify, or override any agreement between the Client and Microsoft, or between the Client and any authorised Microsoft reseller, distributor, or licensing provider.
2.5
DISKMANDOTNET is not responsible for Microsoft pricing changes, subscription term changes, renewal requirements, service availability, or any charges imposed by Microsoft, Synnex, or any other upstream provider.

3. Microsoft Pricing Changes
3.1
Microsoft may change pricing for Microsoft 365 licenses and subscriptions from time to time.
3.2
Where DISKMANDOTNET supplies or resells Microsoft 365 licenses to the Client through Synnex or another authorised supply channel, DISKMANDOTNET may apply those pricing changes automatically in accordance with the updated Microsoft pricing and any corresponding upstream distributor pricing.
3.3
DISKMANDOTNET will endeavour to communicate any such pricing changes to the Client in a timely manner. The Client acknowledges that pricing changes may take effect in accordance with Microsoft’s effective date, billing cycle, renewal date, or distributor implementation date, whether or not prior notice has been received by the Client.

4. Support Options
4.1 Monthly Support Plan
If the Client elects to receive ongoing support services under a monthly support arrangement, the Client will pay $99.00 per licensed user per month.
4.1.1
This fee applies to each licensed user covered under the Client’s Microsoft 365 environment.
4.1.2
Monthly support fees are billed monthly in advance unless otherwise agreed in writing.
4.2 Ad Hoc Support
If the Client does not elect the Monthly Support Plan, services provided by DISKMANDOTNET will be supplied on an ad hoc basis at a rate of $194.25 per hour.
4.2.1
Ad hoc services are billed based on time spent delivering the requested work.

5. Scope of Services
5.1
This agreement covers Microsoft 365 support services provided by DISKMANDOTNET only.
5.2
Unless otherwise agreed in writing, this agreement does not include Microsoft subscription fees, third-party software or licensing costs, project work, migrations, procurement, or work outside standard support services.

6. Service Selection
The Client selects the following service arrangement:

Ad Hoc Support at $194.25 per hour
7. Payment Terms
7.1
Invoices are payable within 14 days of the invoice date.
7.2
Monthly support fees are payable in advance unless otherwise agreed in writing.
7.3
Ad hoc support fees are invoiced based on time incurred.
7.4
Microsoft 365 license and subscription charges supplied by DISKMANDOTNET may be adjusted automatically to reflect Microsoft pricing changes as set out in clause 3.
7.5
DISKMANDOTNET may suspend services where invoices remain unpaid beyond the due date.

8. Term and Changes
8.1
This agreement commences on the Effective Date and continues until terminated by either party on written notice.
8.2
Any change between the Monthly Support Plan and Ad Hoc Support arrangement must be agreed in writing.
8.3
Termination of this agreement does not affect the Client’s responsibility for any Microsoft 365 license commitments, renewals, or associated costs.

9. Relationship to Microsoft
9.1
DISKMANDOTNET acts as an independent service provider and, where applicable, as a reseller through its distribution relationship with Synnex.
9.2
DISKMANDOTNET does not grant Microsoft licenses in its own right and does not represent or bind Microsoft in any way.

10. General
10.1
This agreement constitutes the entire agreement between the parties in relation to the services described in it.
10.2
Any amendment to this agreement must be in writing and accepted by both parties.
10.3
This agreement is governed by the laws of [Victoria, Australia].
